THE PLATFORM IS NOT AVAILABLE TO, AND MAY NOT BE USED BY, ANY PERSON WHO IS A RESTRICTED PERSON OR WHO IS LOCATED IN, RESIDENT IN, A CITIZEN OF, OR ORGANISED UNDER THE LAWS OF A RESTRICTED TERRITORY, AS DEFINED IN SECTION 17. USING A VPN, PROXY, OR ANY OTHER MEANS TO DISGUISE YOUR LOCATION IN ORDER TO ACCESS THE PLATFORM IS PROHIBITED AND IS ITSELF A BREACH OF THESE TERMS.
MUDRAI IS NON-CUSTODIAL. IT NEVER HOLDS YOUR FUNDS OR YOUR PRIVATE KEYS, CANNOT REVERSE A BLOCKCHAIN TRANSACTION ONCE CONFIRMED, AND CANNOT RECOVER FUNDS LOST THROUGH A MISTAKEN TRANSFER, A COMPROMISED WALLET, OR A COUNTERPARTY'S CONDUCT. THE FIAT SIDE OF EVERY TRADE TAKES PLACE OUTSIDE THE PLATFORM AND OUTSIDE ITS CONTROL.
SECTION 16 REQUIRES MOST DISPUTES BETWEEN YOU AND MUDRAI TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, AND CONTAINS A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, AND A ONE-YEAR DEADLINE TO BRING A CLAIM. PLEASE READ IT CAREFULLY. IT DOES NOT CHANGE THE IN-PLATFORM TRADE DISPUTE PROCESS DESCRIBED IN SECTION 8.
1. Acceptance of Terms
By accessing or using the Mudrai platform ("Platform"), including the website at mudrai.com, associated smart contracts, and all related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Platform. Your continued use of the Platform following any changes to these Terms constitutes acceptance of those changes.
2. Platform Description
Mudrai is a community-driven, decentralized peer-to-peer (P2P) trading platform that enables users to trade cryptocurrency for fiat currency and other digital assets through smart contract escrow. The Platform provides:
- Escrow Trading: Custom deal creation where crypto is locked in a smart contract until both parties fulfill their obligations.
- P2P Order Book: An advertisement-based marketplace where users can post buy/sell offers with specified payment methods and terms.
- Multi-Chain Support: Trading across multiple EVM-compatible blockchains including Ethereum, BNB Smart Chain, Polygon, Arbitrum, Optimism, Base, Avalanche, and Linea.
- Dispute Resolution: A community-driven arbitration process for resolving trade disagreements.
3. Community Governance
Mudrai operates as a community-driven platform. Administrators ("Admins") are promoted community members who volunteer their time and expertise to assist with dispute resolution and platform moderation. Admins are not employees, contractors, or agents of Mudrai. They are independent community participants who have been selected based on their trading history, trust score, and community standing.
The Platform does not guarantee the decisions of community Admins. Dispute resolution outcomes are based on the evidence provided by the involved parties and the reasonable judgment of the assigned Admin. See our Community Guidelines for more details on Admin selection and conduct standards.
4. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the Platform does not violate any applicable law or regulation in your jurisdiction. You are solely responsible for ensuring that your use of the Platform complies with all laws applicable to you.
5. User Responsibilities
As a user of the Platform, you agree to:
- Maintain the security of your wallet and private keys. The Platform never has access to your private keys.
- Provide accurate information when creating trades and advertisements.
- Fulfill your obligations in any trade you enter, including timely fiat payment or crypto release.
- Communicate honestly and in good faith with counterparties.
- Provide truthful evidence in any dispute proceedings.
- Comply with all applicable laws and regulations in your jurisdiction, including tax obligations.
- Not use the Platform if it is prohibited by the laws of your jurisdiction.
- Not attempt to manipulate, exploit, or abuse the Platform's features, including the dispute resolution system.
6. Prohibited Activities
You may not use the Platform to:
- Engage in money laundering, terrorist financing, or any illegal financial activity.
- Trade in connection with ransomware, darknet marketplaces, or sanctioned entities.
- Defraud or attempt to defraud other users through false claims, fake payment proofs, or social engineering.
- Circumvent or attempt to circumvent the smart contract escrow mechanisms.
- Create multiple accounts to abuse the referral system, badge system, or trading incentives.
- Submit false or misleading evidence in dispute proceedings.
- Harass, threaten, or intimidate other users or community Admins.
- Interfere with or disrupt the Platform's infrastructure, including attempting to exploit smart contract vulnerabilities.
- Scrape, mine, or harvest user data from the Platform.
- Use the Platform through automated bots or scripts without prior authorization.
7. Smart Contract Escrow Mechanics
The Platform uses audited smart contracts deployed on supported blockchains to facilitate escrow services. When a trade is created:
- The seller's cryptocurrency is locked in the smart contract on-chain.
- Funds are released only when the seller confirms receipt of fiat payment, or when an Admin resolves a dispute.
- Neither Mudrai nor any third party can unilaterally access or withdraw escrowed funds outside of the smart contract's defined logic.
- Smart contract transactions are final and irreversible once confirmed on the blockchain.
Important: While the smart contract protects the cryptocurrency side of the trade, the Platform cannot verify, guarantee, or enforce the fiat payment side of any transaction. Users are solely responsible for verifying receipt of fiat payment before releasing escrowed crypto.
8. Dispute Resolution
If a disagreement arises during a trade, either party may initiate a dispute through the Platform. The dispute resolution process works as follows:
- A community Admin is assigned to review the dispute.
- Both parties may submit evidence, including screenshots, transaction records, and written statements.
- The Admin reviews the evidence and renders a decision, which triggers a smart contract action (release to buyer or refund to seller).
- Dispute resolution decisions are final on-chain once the smart contract transaction is executed.
The Platform strives for fair dispute resolution but cannot guarantee outcomes that satisfy all parties. Admins make decisions based on available evidence and community guidelines. The Platform bears no liability for dispute resolution outcomes.
9. Fees
The Platform charges fees on completed trades as specified in the smart contract. Fees are deducted automatically by the smart contract at the time of trade completion. Current fee rates are displayed in the Platform interface before trade creation. In addition to Platform fees, users are responsible for all blockchain network fees (gas fees) required to execute on-chain transactions. The Platform reserves the right to modify fee structures with reasonable notice to users.
10. Limitation of Liability
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUDRAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MUDRAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of, or inability to access or use, the Platform.
- Any conduct or content of any third party on the Platform, including other users and community Admins.
- Any loss resulting from smart contract execution, blockchain network failures, or cryptocurrency price volatility.
- Unauthorized access, use, or alteration of your transmissions or content.
- Any bugs, viruses, or other harmful code that may be transmitted through the Platform.
IN NO EVENT SHALL THE TOTAL LIABILITY OF MUDRAI EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Mudrai, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party rights; or (e) any dispute between you and another user of the Platform.
12. Intellectual Property
The Platform, including its design, code, logos, trademarks, and content (excluding user-generated content), is the property of Mudrai and is protected by intellectual property laws. The smart contracts deployed by the Platform are open-source and subject to their respective licenses. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.
13. Platform Status
Mudrai is not a financial institution, custodian, money services business, securities exchange, or broker-dealer. The Platform provides decentralized infrastructure that enables peer-to-peer trading through smart contracts. The Platform does not hold, control, or manage user funds at any time. All escrowed funds are held on-chain by the smart contract, not by Mudrai. Users are responsible for their own tax reporting, regulatory compliance, and financial decisions.
14. Termination
Mudrai reserves the right to restrict, suspend, or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, engaging in prohibited activities, or if required by law. Upon termination, your right to use the Platform ceases immediately. Any funds held in smart contract escrow at the time of termination remain subject to the smart contract's logic and will be resolved according to the standard dispute resolution process. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to limitation of liability and indemnification.
15. Modifications to Terms
Mudrai reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform interface or via notification to registered users. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
16. Governing Law and Dispute Resolution
Two different things are called a “dispute” on this Platform, and this section governs only one of them. A disagreement with your counterparty about a trade is handled by the in-platform process in Section 8, and its outcome is executed on-chain and final. This section governs a legal dispute between you and Mudrai — any claim or controversy arising out of or relating to these Terms, the Platform, or your access to or inability to access it, including any question about the validity or scope of this section itself (each, a “Dispute”).
These Terms, and any Dispute, are governed by and construed in accordance with the laws of the jurisdiction in which the Mudrai operating entity is established, without regard to any conflict-of-law rules or principles that would apply the law of another jurisdiction.
Except as stated below, you and Mudrai agree that every Dispute will be referred to and finally resolved by binding arbitration on an individual basis, rather than in court. The seat of the arbitration shall be that same jurisdiction, the tribunal shall consist of one arbitrator, and the language of the arbitration shall be English. The arbitrator shall be neutral and independent, and shall have authority to decide their own jurisdiction and whether a Dispute is arbitrable — except that the enforceability of the class action waiver below shall be decided only by a court of competent jurisdiction.
Two things may still go to court. Either you or Mudrai may seek temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or the security and integrity of the Platform, pending final resolution of a Dispute. Either party may also bring an individual claim in a small claims court if the claim qualifies and stays there.
YOU AND MUDRAI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF, CLAIMANT, OR MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR SIMILAR PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding, and may award relief only in favour of the individual party seeking relief and only so far as necessary to resolve that party's own claim.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND MUDRAI KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.
Any Dispute must be commenced within one (1) year after the claim arose. To the fullest extent permitted by applicable law, a claim not brought within that period is permanently barred.
Each party bears its own legal fees and costs in an arbitration, except that the arbitrator may award reasonable fees and costs to the prevailing party if the arbitrator finds that a claim, defence, or requested relief was frivolous, brought in bad faith, or asserted for an improper purpose.
The arbitration — including its existence, all filings, evidence, submissions, orders, and any award — is confidential, except where disclosure is required by law, needed to enforce or challenge an award, needed to seek equitable relief, or made to a party's professional advisers who are told it is confidential.
If any part of this section is held invalid or unenforceable, that part is severed and the rest remains in force — except that if the class action waiver is held unenforceable as to a particular claim or request for relief, that claim or request may proceed in court while every other claim remains in arbitration. This section survives any termination of your access to the Platform.
17. Restricted Persons and Restricted Territories
The Platform may not be accessed or used by a "Restricted Person." You are a Restricted Person if you are, or if you are acting on behalf of or are owned or controlled by any person who is:
- a citizen or resident of, located in, organised under the laws of, or having a registered office or principal place of business in any country or territory subject to comprehensive country-wide or region-wide sanctions, which at present include Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
- the target of any sanctions administered or enforced by the United States (including any list maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control), the United Kingdom, the European Union, the United Nations, or any other applicable sanctions authority, whether by name, by ownership, or by control;
- located in, resident in, or subject to the laws of any jurisdiction in which peer-to-peer cryptocurrency trading, the Platform, or any feature of it is illegal, requires a licence or registration that has not been obtained, or is otherwise ineligible for use (each such country, territory, or jurisdiction, a “Restricted Territory”); or
- any other person whose access to or use of the Platform would be contrary to any law or regulation applicable to them.
Each time you access or use the Platform, including each time you connect a wallet or sign a transaction, you confirm that you are not a Restricted Person and that you are not accessing the Platform from a Restricted Territory. The Platform restricts access by country for some or all features, and those restrictions may change at any time. Attempting to defeat them — with a VPN, proxy, relay, or any other location-masking technology or method — is prohibited and is a breach of these Terms, whether or not the attempt succeeds.
Mudrai may further restrict availability of the Platform, in whole or in part, in response to changes in law, regulation, sanctions, or its own assessment of risk, at its sole discretion and without notice. Mudrai is not liable for any loss or damage arising from the temporary or permanent loss of access to the Platform for any such reason. Funds already locked in escrow remain subject to the smart contract's own logic.
18. Your Representations and Warranties
Each time you access or use the Platform, you represent, warrant, and agree that:
- you have the legal capacity, power, and authority to enter into and perform these Terms, and if you are acting for an entity, you are authorised to bind it;
- these Terms are your legal, valid, and binding obligation, enforceable against you;
- you are not a Restricted Person and are not acting for the benefit of one, as described in Section 17;
- you have not relied on any statement, representation, or information from Mudrai, its contributors, or its community Admins as investment, financial, legal, tax, accounting, or other professional advice, and you understand that none of it is offered as such;
- you are not subject to any pending or threatened legal, regulatory, or governmental proceeding, order, or sanction that would prohibit or materially restrict your use of the Platform or your trading of digital assets;
- the funds and digital assets you use on the Platform are lawfully yours and are not the proceeds of any crime, and your use of the Platform will not violate any law or regulation applicable to you, including those governing digital assets, money transmission, anti-money-laundering, counter-terrorist financing, sanctions, tax, and consumer protection; and
- every payment you make or receive in a trade is made from and to an account held in your own name, and you will not send or accept payment from a third party on behalf of a counterparty.
19. Taxes
You are solely responsible for determining which taxes apply to your activity on the Platform, and for reporting and paying them. Mudrai does not withhold tax, does not act as your tax agent, does not provide tax advice, and does not issue tax statements or cost-basis reports. The Platform's trade history is provided for your convenience and is not a tax record; its availability, completeness, and retention are not guaranteed, and you should keep your own records. Where required by law, regulation, or valid legal process, Mudrai may provide information to tax or other authorities.
20. Third-Party Services
Using the Platform requires, and may let you interact with, services Mudrai does not own or control — wallet providers, blockchain networks and their validators, RPC node providers, price data feeds, payment rails, banks, messaging and identity providers, and analytics and infrastructure vendors (each, a “Third-Party Service”). Your use of any Third-Party Service is governed by that provider's own terms and privacy practices, not these Terms, and any fees it charges are yours to pay. Mudrai does not endorse, audit, or guarantee any Third-Party Service and is not responsible for its availability, accuracy, security, solvency, lawfulness, or performance, or for any loss arising from its failure. Selecting and securing your wallet, including your private keys and seed phrase, is entirely your responsibility; Mudrai cannot access, freeze, recover, or reset it on your behalf.
21. Licences You Grant
You keep ownership of what you submit to the Platform — advertisement terms, trade titles and descriptions, chat messages, dispute evidence, reviews, your username, bio, and profile picture (together, “Your Content”). You grant Mudrai a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display, and distribute Your Content as needed to operate, secure, moderate, and improve the Platform, and to show it to the people it is meant for — your counterparty, the Admins reviewing a dispute, and, where the content is public, other users. You represent and warrant that Your Content is yours to submit, is accurate, and does not infringe any third party's rights or violate any law. Mudrai has no obligation to monitor Your Content but may remove or restrict anything it believes is unlawful, fraudulent, infringing, or in breach of these Terms.
If you send us ideas, suggestions, bug reports, or other feedback, you do so at your own risk and Mudrai takes on no obligation of confidentiality in respect of it. You grant Mudrai a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, adapt, and exploit that feedback for any purpose without compensation or attribution, and you confirm you have the rights needed to give it. Please report a suspected security vulnerability privately to security@mudrai.com rather than exploiting or publishing it.
22. Investigations, Screening and Emergency Measures
Mudrai may investigate suspected breaches of these Terms or of applicable law. In connection with an investigation, or where it otherwise reasonably considers it necessary or appropriate, Mudrai may:
- screen wallet addresses, transactions, and accounts against sanctions lists and third-party blockchain-analytics services, and restrict or refuse access based on the result, your apparent location, or a regulatory requirement, without being obliged to give a reason;
- restrict, suspend, or terminate your access to the Platform, or to particular features, chains, or trades;
- refer a matter to, cooperate with, and disclose information to law enforcement, regulators, tax authorities, or other competent authorities, and comply with any valid legal process or governmental request; and
- disclose information where necessary to enforce these Terms, to respond to your own support request, or to protect the rights, property, or safety of Mudrai, its users, or the public.
You agree to provide information Mudrai reasonably requests for compliance purposes, and you agree not to use mixers, tumblers, privacy pools, or other tools or methods intended to obscure the origin or destination of digital assets in connection with the Platform.
In an emergency — a security incident, an exploit or suspected vulnerability, a regulatory action, or any comparable exigent circumstance — Mudrai may act without notice to protect users and the Platform, including by pausing a smart contract or a feature, suspending trading on a chain or token, delisting a token or payment method, restricting access, publishing a warning, or reporting activity to authorities. Such measures may prevent you from creating, completing, or cancelling a trade for a period, and Mudrai is not liable for any resulting loss. Because the smart contracts are deployed on public blockchains, Mudrai may be unable to prevent direct interaction with them and you should not rely on it to do so.
23. Release of Claims
To the fullest extent permitted by applicable law, you release and forever discharge Mudrai, its affiliates, contributors, and community Admins, and their respective officers, directors, employees, agents, successors, and assigns, from every past, present, and future claim, demand, liability, and cause of action of any kind arising out of or relating to the act, omission, conduct, statement, content, or default of any other user, counterparty, Admin, wallet provider, blockchain network, payment provider, or other third party — including any dispute about a trade, a fiat payment, a payment reversal or chargeback, the evidence submitted in a dispute, or the outcome of a dispute resolution. Your remedy in such a matter is against that party, not against Mudrai.
IF YOU ARE A RESIDENT OF CALIFORNIA, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH READS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You waive the benefit of any comparable law of any other jurisdiction.
24. General Provisions
- Entire agreement. These Terms, together with the Risk Disclaimer, Privacy Policy, Cookie Policy, and Community Guidelines, are the entire agreement between you and Mudrai about the Platform, and supersede any earlier understanding on that subject.
- Language. These Terms were drafted in English. Translations are provided for convenience only; if a translation and the English version conflict, the English version governs.
- Severability. If any provision is held invalid or unenforceable, it is severed to the minimum extent necessary and the remainder of these Terms stays in force.
- No waiver. A failure or delay by Mudrai in enforcing any provision is not a waiver of it, and no single or partial exercise of a right prevents any further exercise of it.
- Assignment. You may not assign or transfer these Terms or any right under them without Mudrai's prior written consent. Mudrai may assign them, in whole or in part, without restriction.
- No partnership or agency. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and Mudrai, and neither party may bind the other.
- Force majeure. Mudrai is not liable for any failure or delay caused by something beyond its reasonable control, including blockchain network failure, fork, congestion, or reorganisation; the failure of any Third-Party Service; act of God, war, civil unrest, or terrorism; epidemic; strike; power or internet outage; cyberattack; or change in law or regulation.
- Interpretation. "Including" means "including without limitation," "or" is not exclusive, and headings are for convenience only and do not affect meaning.
- Survival. Provisions that by their nature should survive do survive any termination or expiry of these Terms, including those on prohibited activities, fees already incurred, limitation of liability, indemnification, intellectual property, the licences you grant, the release, governing law, and dispute resolution.
